Article 1. User Eligibility

We do not intend the Demonstration Service to be used by individuals under the age of 13. Individuals under the age of 13 may not be Users. By using the Site, you represent and warrant that (a) you are age 13 or older and (b) your use of the Site does not violate any applicable law or regulation.

Article 2. Intellectual Property

1. All content displayed on the Site or included on the Demonstration Service, including, without limitation, text, articles, graphics, logos, user interfaces, button icons, images, photographs, audio clips, video clips, digital downloads, data compilations and software, (collectively “Content”) is owned by us or our licensors and is protected by applicable copyright laws. All software used on the Demonstration Service is our property or that of our software suppliers and is protected by applicable copyright laws.
2. manabaTM is our trademark, registered trademark or service mark. All rights are reserved. This and other trademarks, service marks, graphics, logos and trade dress of ours used on the Site and in the Demonstration Service may not be used without our prior written consent.

Article 3. Handling of Personal Information

Please review the Privacy Policy, which explains what information we collect from Users and how that information is used. By requesting access to the Demonstration Service or using the Demonstration Service, you agree to be bound by the Privacy Policy.

Article 4. Content Posted Through Demonstration Service

1. You may not post any content through the Demonstration Service that violates intellectual property rights or is defamatory or pornographic.
2. You should have no expectation of privacy with respect to any content you may enter in the Demonstration Service, any or all of which may be viewed or accessed by us and our affiliates, contractors and agents. The foregoing does not apply to personal information entered as part of the registration process to request access to the Demonstration Service, which is subject to the Privacy Policy.
3. We have no obligation to retain or store any information you may enter through the Site or the Demonstration Service, and may delete it at any time. We will have no liability for loss, inability to access or deletion of any such information for any reason whatsoever.

Article 5. Governing Laws

The conclusion, force, implementation, and interpretation of these Terms and Conditions of Use are governed by the laws of the State of New York. You agree that the laws of the State of New York, without regard to principles of conflict of laws, will govern these Terms and Conditions of Use and any dispute of any sort that might arise between you and us or any other manaba Party.

Article 6. Jurisdiction
You hereby submit to the exclusive jurisdiction of the state and federal courts with jurisdiction over the Borough of Manhattan for all disputes in connection with these Terms and Conditions of Use or any dispute of any sort that might arise between you and us or any other manaba Party.

Article 7. Complete Agreement

These Terms and Conditions of Use, the Privacy Policy, and any other policies posted on the Site from time to time, constitute the complete agreement between you and us with respect to the subject matter hereof and thereof and supersede all prior agreements or representations between you and us.
